Terms of Service

These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent, "you") and Maestrix AI LLC, a Delaware limited liability company with its registered office at 8 The Green, Suite A, Dover, DE 19901, United States ("Maestrix", "we", "us", or "our"), governing your access to and use of the Maestrix website, web application, MCP integrations (including Claude Cowork), Skill Store, Brain, Chat with Mark, agents, ad deployment features, public sharing, and any related products or services (collectively, the "Service").

1. Acceptance

By accessing or using the Service, creating an account, connecting via an MCP client, or clicking "I accept", you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of a company or other organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account

You are responsible for keeping your login credentials confidential, for the accuracy of the information you provide, and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately at hello@maestrix.ai of any suspected unauthorized access.

4. Subscriptions, Credits, and Top-Ups

The Service is offered on subscription plans and via prepaid credit top-ups. Unless required by applicable law, all fees are non-refundable. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal. We may change pricing with reasonable advance notice; new pricing applies at your next renewal.

Credits have no cash value, are not transferable, and may expire as described in your plan. We reserve the right to revoke credits obtained through fraud, abuse, or breach of these Terms.

EU/UK consumers: if you qualify as a consumer under EU or UK law, you have a 14-day right of withdrawal from the date of purchase. By starting to use AI generation, downloading skills, or otherwise consuming the Service within that period, you expressly request immediate performance and acknowledge that you lose the right of withdrawal once the digital service has been fully performed or consumed.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal, infringing, harmful, hateful, harassing, defamatory, or fraudulent purpose;
  • Send spam, unsolicited messages, or unauthorized commercial communications;
  • Generate content depicting minors in a sexual context, non-consensual sexual content, or content that incites violence;
  • Scrape, crawl, or extract data from the Service without our written permission;
  • Resell, sublicense, or redistribute outputs at scale without our written permission;
  • Use outputs or the Service to develop, train, or improve a competing AI model or product;
  • Reverse engineer, decompile, or attempt to access source code, except where permitted by law;
  • Circumvent rate limits, credit limits, the Skill Store free download cap, or any other technical or contractual restriction;
  • Interfere with the security or integrity of the Service.

6. AI-Generated Content

Outputs are generated by artificial intelligence and are provided "as is". They may be inaccurate, biased, incomplete, outdated, or unintentionally similar to third-party works. You are solely responsible for reviewing, verifying, and editing all outputs before publishing, sending, deploying, or relying on them.

Maestrix is not liable for any business, legal, financial, marketing, or operational decisions made based on AI outputs. As between you and Maestrix, you retain ownership of your inputs and outputs, subject to the license-back granted in Section 8 and to the rights of any third-party AI provider.

7. Third-Party Integrations

The Service connects to third-party platforms including but not limited to Shopify, Google Ads, Meta, LinkedIn, Slack, Stripe, and MCP clients such as Claude Cowork. Your use of these integrations is governed by the relevant third party's own terms and privacy policies. Maestrix is not responsible for the actions, downtime, policy changes, fees, or content of any third party.

8. User Content and License

You retain ownership of all content you submit to the Service ("User Content"). You grant Maestrix a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, copy, display, and process your User Content solely as necessary to operate, secure, and improve the Service and to provide it to you. You represent that you have all necessary rights to grant this license.

9. Intellectual Property

Maestrix and its licensors retain all right, title, and interest in and to the Service, including the platform, brand, name, logos, frameworks, methodologies, skills, prompt library, brain templates, and all related intellectual property. No rights are granted to you except as expressly set out in these Terms.

10. Confidentiality

Each party agrees to protect the other's non-public business or technical information disclosed in connection with the Service with the same degree of care it uses for its own confidential information, and at least reasonable care. Standard exclusions apply for information that is public, independently developed, or required to be disclosed by law.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED AVAILABILITY, OR ANY GUARANTEE OF MARKETING, SALES, OR BUSINESS RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAESTRIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MAESTRIX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

IN NO EVENT WILL MAESTRIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights under EU or UK law, liability for fraud, gross negligence, or willful misconduct, or liability for death or personal injury caused by negligence.

13. Indemnification

You agree to defend, indemnify, and hold harmless Maestrix AI LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms or any law; or (d) your infringement of any third party's rights.

14. Termination

Either party may terminate the agreement at any time, with or without cause. We may suspend or terminate your account immediately if you breach these Terms, create risk to us or other users, or engage in fraudulent or illegal activity. Upon termination, your right to access the Service ceases. Sections relating to payment, ownership, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

15. Data Processing (GDPR)

When Maestrix processes personal data on behalf of business customers in connection with the Service, Maestrix acts as a data processor and the customer acts as the controller, as those terms are defined under the GDPR. Our processing is described in our Privacy Policy. Business customers subject to the GDPR or UK GDPR may request our standard Data Processing Addendum by emailing hello@maestrix.ai.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Nothing in this Section deprives consumers in the EU, EEA, or UK of the protection of mandatory consumer laws of their country of residence.

17. Dispute Resolution

Before filing any claim, the parties agree to attempt in good faith to resolve disputes informally by contacting hello@maestrix.ai. If the dispute is not resolved within 30 days, it will be brought exclusively before the state or federal courts located in Delaware, United States, except that EU and UK consumers retain the right to bring claims in the courts of their country of residence and to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

18. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest revision. For material changes, we will provide additional notice (for example, by email or in-app banner). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. General

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Maestrix regarding the Service. Neither party is liable for delays or failures caused by events beyond reasonable control (force majeure).
